Job Summary

This is an opportunity to play a visible, business‑critical role within a growing global logistics organization, partnering closely with Sales, Operations, and Leadership to enable commercial success.

 

The Legal Counsel will serve as a key legal partner to the U.S. business, with a primary focus on commercial contracts and sales enablement for Purolator International. This role balances practical, solution‑oriented legal advice with an enterprise‑wide and global perspective to help the business achieve its objectives while proactively managing legal and regulatory risk.

 

The position supports both U.S. and international operations, working closely with our Canadian Legal team as part of an integrated North American legal function.

Responsibilities

Commercial Contracts & Sales Support

  • Partner closely with Sales to onboard new customers and retain/grow existing business, including drafting, reviewing, and negotiating customer agreements and responding to legal provisions in RFPs.
  • Draft, review, and update a wide range of commercial agreements, including those with carriers, brokers, consultants, licensors, and commercial lessors.
  • Collaborate with the Legal Sales Contracts team in Canada to maintain and enhance standard form agreements and terms and conditions of service.
  • Manage and prioritize a high volume of contractual work to support time‑sensitive sales initiatives across the organization.
  • Provide practical, business‑focused legal guidance that supports revenue growth while protecting the company.

Compliance & Corporate Governance

  • Review and evaluate compliance matters across the business.
  • Interact with state and federal agencies to ensure corporate filings and registrations are current.
  • Review bankruptcy filings from a creditor’s rights perspective and monitor U.C.C. filings.
  • Maintain copyright and trademark filings and associated licensing agreements.
  • Manage federal, state, and local business and regulatory licenses, including renewals.
  • Provide legal support to the 401(k) Committee.
  • Monitor changes in applicable laws and regulations, assess business impact, and draft policies and procedures to support compliance.

Collaboration & Leadership

  • Liaise regularly with the Canadian Legal Department, participating in recurring virtual meetings.
  • Supervise a paralegal, including oversight of day‑to‑day work and quality review.
  • Manage and coordinate with external U.S. legal counsel as needed.

Education

  • Juris Doctor (JD) from an accredited law school.
  • Admission to a U.S. state bar (or eligibility for in‑house counsel registration).

Experience

  • 3–5+ years of experience as a practicing attorney.
  • 3+ years of corporate/commercial contract negotiation experience, gained in a large law firm or corporate legal department.
  • Primary U.S. and global industry experience within transportation, courier, freight, air, ocean, or railroad sectors.
  • Strong knowledge of corporate and commercial law.
  • Excellent interpersonal, analytical, and communication skills.
  • Proven ability to exercise sound judgment, manage competing priorities, and work independently in a fast‑paced environment.
  • Experience supporting international or cross‑border commercial operations.
  • Familiarity with employment law, antitrust, FCPA, privacy, and regulatory compliance in logistics or transportation environments.

 

To support state laws, the base pay range for this role is $130,000 - $190,000. Pay within this range varies by work location and may also depend on various factors such as job-related knowledge, and relevant skills and experience.
