SHIFT: Part Time, Monday – Friday. We will work with the incumbent on setting a standard work schedule of 22.5 hours per week, whether it be morning or afternoon hours.

LOCATION: We are open to this position being remote. Ideally, this position will be located near our HQ in Jericho, NY (or surrounding NY Metro area).



The primary function of the Part Time Legal Counsel is to review contracts for Purolator International.  In addition to that primary function, Legal Counsel  provides analysis and counsel on business; contract, legal and policy issues. Anticipates and guards against legal risks facing Purolator International.


Legal Job Functions:

  • Contracts: draft, negotiate, and amend all contracts including
  1. Support Sales with onboarding customers or retaining/growing existing business through drafting reviewing and negotiating customer agreements including VDA agreements, customs agreements and NDA’s.
  2. Drafting and updating standard form agreements for carriers and brokers,
  3. Agreements used in the course of business including: Commercial leases;  consulting agreements, vendor agreements, etc
  4. Assist in drafting and revision of corporate Terms & Conditions
  5. Respond to legal provisions within RFP’s


  • Compliance: review and evaluate compliance issues
  1. Interact with state and federal agencies to ensure corporate filings are in order
  2. Review bankruptcy filings from a creditor's rights perspective; monitor U.C.C. filings; review Copyright and Trademark filings and associated licensing agreements
  3. Maintaining all federal, state and local business and regulatory licenses (i.e., initial registration and renewals)


  • Interact and laisse with Corporate Legal team in Canada, attending weekly meetings
  • Monitoring changes in the law and, together with the Corporate Legal Department, assessing their impact on Purolator's business and drafting policies or procedures to assist with compliance



Knowledge, Skills, and Abilities Requirements

  • Strong knowledge of corporate and commercial law
  • Strong interpersonal, analytical and communication skills
  • Ability to rely on extensive experience and judgment to plan and accomplish goals


Education and/ or Work Experience Requirements:

  • JD Degree from an accredited law school
  • 2-3 years of Corporate/Commercial contract negotiations experience gained in a large law firm or corporate legal department
  • Familiarity with transportation/logistics, employment, anti-trust, foreign corrupt practices and privacy laws would be considered an asset as would international business experience
